Terms of Service

The agreement governing your use of the Opsite platform.

1. Acceptance of Terms

Welcome to Opsite. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Opsite ("Company," "we," "us," or "our"), governing your access to and use of the Opsite platform, website at useopsite.com, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Opsite is a cloud-based construction operations platform designed for general contractors, remodelers, and construction businesses. The Service provides tools for job management, scheduling, budgeting, subcontractor coordination, client communication, document management, lead tracking, invoicing, compliance monitoring, and AI-powered business assistance.

The Service may include features such as subcontractor portals, automated workflows, SMS and email notifications, reporting dashboards, file storage, and integrations with third-party services. We reserve the right to modify, update, or discontinue any feature of the Service at any time, with or without notice.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information, including a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Provide truthful, current, and complete information during registration.
  • Keep your account credentials secure and not share them with unauthorized parties.
  • Notify us immediately at support@useopsite.com if you suspect any unauthorized access to your account.
  • Accept responsibility for all activity that occurs under your account, whether or not authorized by you.

You must be at least 18 years of age to create an account and use the Service. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Subscription and Billing

Opsite offers subscription-based access to the Service through monthly plans. Our pricing is flat-rate per plan tier with no per-user fees — your entire team can use the platform under a single subscription at no additional cost.

Billing Cycle: Subscriptions are billed on a recurring monthly basis. Your billing cycle begins on the date you subscribe and renews automatically each month unless canceled.

Payment: You authorize us to charge your designated payment method for all applicable subscription fees. All fees are quoted in U.S. dollars. If your payment method fails, we may suspend access to the Service until payment is resolved.

Free Trials: We may offer free trial periods at our discretion. At the end of a trial, your account will convert to a paid subscription unless you cancel before the trial expires.

Price Changes: We reserve the right to modify our pricing. Any price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle.

Refunds: Subscription fees are generally non-refundable. However, if you cancel within the first 14 days of your initial subscription, you may request a full refund by contacting support@useopsite.com.

5. User Content and Data Ownership

Your Data is Yours. You retain full ownership of all data, content, files, documents, and information that you upload, create, or store through the Service ("User Content"). Opsite does not claim any ownership rights over your User Content.

By using the Service, you grant us a limited, non-exclusive license to host, store, process, and display your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your User Content or close your account.

Data Export: You may export your data at any time through the tools provided within the Service. Upon account termination, we will make your data available for export for a period of 30 days, after which it may be permanently deleted.

Data Security: We implement industry-standard security measures to protect your User Content, including encryption in transit and at rest. For more details, please review our Security page and Privacy Policy.

You represent and warrant that you have all necessary rights and permissions to upload and use any User Content, and that your User Content does not infringe on the intellectual property rights of any third party.

6. Acceptable Use

You agree to use the Service only for lawful purposes related to managing your construction business operations. You may not:

  • Use the Service for any illegal activity or in violation of any applicable local, state, national, or international law or regulation.
  • Upload, transmit, or distribute any content that is harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
  • Attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service.
  • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Use the Service to send unsolicited bulk messages (spam) or to harvest personal information of other users.
  • Resell, sublicense, or provide access to the Service to third parties without our prior written consent.
  • Use automated scripts, bots, or scraping tools to access or interact with the Service without our written authorization.

We reserve the right to investigate and take appropriate action against any violations of this section, including suspending or terminating your account and reporting illegal activity to law enforcement authorities.

7. Intellectual Property

The Service, including its software, design, text, graphics, logos, icons, interface, code, and all other proprietary materials (collectively, "Opsite Materials"), are owned by or licensed to Opsite and are protected by copyright, trademark, trade secret, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription. This license does not include the right to:

  • Copy, modify, or create derivative works based on the Opsite Materials.
  • Distribute, publicly display, or publicly perform any Opsite Materials.
  • Remove or alter any proprietary notices, labels, or marks on the Opsite Materials.

All rights not expressly granted herein are reserved by Opsite. "Opsite," the Opsite logo, and all related names, logos, and slogans are trademarks of Opsite. You may not use these trademarks without our prior written permission.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPSITE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Opsite is a business management tool and does not provide legal, financial, engineering, or construction compliance advice. You are solely responsible for ensuring that your construction projects comply with all applicable building codes, permits, safety regulations, and licensing requirements. Opsite shall not be liable for any construction defects, project delays, regulatory violations, or any other outcomes resulting from decisions made using information provided through the Service.

9. Indemnification

You agree to indemnify, defend, and hold harmless Opsite, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of or access to the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your User Content, including any claim that your User Content infringes upon the intellectual property or other rights of a third party.
  • Any construction work, business decisions, or project outcomes related to your use of the Service.

10. Termination

By You: You may cancel your subscription and terminate your account at any time through your account settings or by contacting us at support@useopsite.com. Cancellation will take effect at the end of your current billing period, and you will retain access to the Service until that date.

By Us: We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, non-payment of fees, fraudulent activity, or conduct that we determine to be harmful to other users or the Service.

Effect of Termination: Upon termination, your right to use the Service will immediately cease. We will retain your data for 30 days following termination to allow you to export it. After this period, we may permanently delete all of your User Content. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 5, 7, 8, 9, and 11.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of California, and the arbitrator's decision shall be final and binding.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration against Opsite.

12. Changes to Terms

We reserve the right to modify or update these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and notify you via email or through a prominent notice within the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect.

13. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Opsite regarding the Service.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

Force Majeure: Opsite shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, or third-party service failures.
